Terms & Conditions for Vendors

Artelio.co LLC ("Artelio") provide website features and other products and services to you when you visit or shop at Artelio.co, use Artelio services, or use software provided by Artelio in connection with any of the foregoing (collectively, "Artelio services", “our services,” “we,” “Artelio.co, “Artelio”). By using Artelio Services, you agree, on behalf of yourself and all members of your household and others who use any Service under your account, to the following conditions.

We offer a wide range of Services, and sometimes additional terms may apply. If these Conditions of Use are inconsistent with our Service Terms, those Service Terms will control.

COPYRIGHT

All content included in or made available through any Artelio Service, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is the property of Artelio.co or its content suppliers and Vendors are protected by copyright, trademarks, patents or other intellectual property rights and laws. The compilation of the content on the Site is the exclusive property and copyright of Artelio.co and is protected by copyright, trademarks, patents or other intellectual property rights and laws.

TRADEMARKS

Graphics, logos, page headers, button icons, scripts, and service names included in or made available through any Artelio Service are trademarks -either unregistered trademarks or registered trademarks- are protected by international trademark and other intellectual property rights and laws. It may not be used in connection with any product or service that is not Artelio’s in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Artelio. All other trademarks not owned by Artelio that appear in any Artelio Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Artelio.

If you believe that your intellectual property rights or trademarks have been violated, please notify Artelio.co Without prejudice to any other rights and remedies of Artelio.co under this User Agreement or at law, Artelio.co may limit, suspend, or withdraw a user's access to the Site and/or a user's membership of the Site. Also Artelio.co can choose to take other technical and/or legal steps against users who create problems or possible legal liabilities of any kind, who infringe the intellectual property rights or trademarks of third parties or who act inconsistently with this User Agreement or our policies.

1. Artelio Account

1.1 Age Requirement:

You must be 18 years or older to use our Services. Minors under 18 and at least 15 years of age are only permitted to use our Services through an account owned by a parent or legal guardian with their appropriate permission and under their direct supervision. Children under 15 years are not permitted to use Artelio Services. You are responsible for all account activity conducted by a minor on your account.

1.2 Account responsibility and Information:

• You are solely responsible for your account and any activity on your account. If you are sharing an account with other people, then the person whose financial information is in the account will be responsible for all activity. If you are registering as a business entity (vendor), you personally guarantee that you have the authority to agree to the Terms on behalf of the busin ess. Accounts are not transferable. Your password protection is your sole responsibility.
• It is prohibited to use false information or impersonate another person or company through your account.
• If you decide to not have your full name serve as the name associated with your account, you may not use language that is offensive, vulgar, infringes someone’s intellectual property rights, or otherwise violates the Terms.

1.3. Account Termination:

• Artelio may limit, suspend, or terminate your account if you violate the Terms or fail to provide required information.
• You must notify Artelio.co of unauthorized use of your password or account or any other breach of security, in no event will Artelio.co be liable for any direct, indirect, or consequential loss or loss of profits, goodwill or damage whatsoever resulting from the disclosure of your username and/or password.

1.4 Vendors and Suppliers:

• You will provide true, accurate, current, and complete information about yourself as prompted by Artelio.co registration form used for suppliers and vendors, and you will update the Registration Data when needed to keep it true, accurate, current, and complete. Artelio.co has the right to demand you update your registration form at any time.
• Artelio.co may make any inquiries it considers necessary and request that you provide it with further information or documentation, including without limitation to verifying your identity and/or ownership of your financial instruments. Without limiting the foregoing, if you are a business entity or registered on behalf of a business entity such information or documentation may include your trade license, other incorporation documents and/or documentation showing any person's authority to act on your behalf. You agree to provide any information and/or documentation to Artelio.co upon such requests. You acknowledge and agree that if you do not provide the requisite information and / or documents, Artelio.co without liability may limit, suspend, or withdraw your access to the Site and/or your membership of the Site. We also reserve the right to cancel unconfirmed / unverified accounts or accounts that have been inactive for a long time.

2. Content

1. Content that you post using our Services is your content (refer to it as “Your Content”). We do not make any claim to it, which includes anything you post using our Services (like shop names, profile pictures, listing photos, listing descriptions, reviews, comments, videos, usernames, etc.) and You understand that you are solely responsible for Your Content. You represent that you have all necessary rights to all parts of Your Content and that you are not infringing or violating any third party’s rights by posting it.
2. By posting Your Content through our Services, you grant Artelio and, as authorized by Artelio in its sole discretion, third parties, a license to use it. We do not claim any ownership to Your Content, but we have your permission to use it to help Artelio function and grow. That way, we will not infringe any rights you have in Your Content, and we can help promote it. For example, you acknowledge and agree Artelio may offer you or Artelio buyers’ promotions on the Site, from time to time, that may relate to your listings or other listings on Artelio.
3. By posting Your Content, you grant Artelio and, as authorized by Artelio in its sole discretion, third parties, a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of Your Content. This allows us to provide the Services and to promote Artelio, your Artelio shop, other shops and listings, or the Services in general, in any formats and through any channels, including across any Artelio Services, our partners, or third-party website or advertising medium. You agree not to assert any moral rights or rights of publicity against us for using Your Content. You also recognize our legitimate interest in using it, in accordance with the scope of this license, to the extent Your Content contains any personal information.
4. If Your Content is alleged to infringe another person’s intellectual property, we will take appropriate action, such as disabling it if we receive a report of infringement that complies with our policies or terminating your account if you are found to be a repeat infringer. We will notify you if any of that happens.
5. You agree that you will not post any content that is abusive, threatening, defamatory, obscene, vulgar, or otherwise offensive or in violation of the law, or any part of our Terms. You also agree not to post any content that is false and misleading or uses the Services in a manner that is fraudulent or deceptive.

3. Use of Services

3.1 Your Content:

1. You may post reviews, comments, photos, videos, and other content; send e-cards and other communications; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a card or other content. Artelio reserves the right (but not the obligation) to remove or edit such content but does not regularly review posted content.
2. If you do post content or submit material, and unless we indicate otherwise, you grant Artelio a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant Artelio.co and sublicensees the right to use the name that you submit in connection with such content if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Artelio for all claims resulting from content you supply. Artelio has the right but not the obligation to monitor and edit or remove any activity or content. Artelio takes no responsibility and assumes no liability for any content posted by you or any third party.

3.2. Vendors Content:

1. You agree that you will not violate any laws in connection with your use of the Services This included local laws, or any law that may apply to you, for example: it is your responsibility to obtain any permits or licenses that your shop requires, and to meet applicable legal requirements. You may not sell anything that violates Any Laws.
2. While cosmetics are permitted for sale, sellers must provide full ingredient disclosure and indicate if the product is verified by the Public Health Ministry. with the exception of products which are entirely natural. This is due to the potential for serious reactions from certain cosmetic ingredients.

3.2. Prohibited Items:

1. Anything considered prohibited from trading under the laws, regulations, and decisions governing within the State of Kuwait is prohibited from trading, displaying, selling, and buying within the website, in addition to the following:
   1. Food and beverage.
   2. For safety reasons, we do not allow the sale of medical products, products with strong chemical acids, or any products that claim to cure or alleviate diseases.
   3. Products requiring special permits or licenses for production, manufacturing, or sale are prohibited unless you can provide a valid copy of the required permit or license.
2. We may terminate or suspend your account (and any accounts Artelio determines are related to your account) and your access to the Services should we have reason to believe you, your Content, or your use of the Services violate our Terms. If we do so, it is important to understand that you do not have a contractual or legal right to continue to use our Services, for example, to sell or buy on our websites. Generally, Artelio will notify you that your account has been terminated or suspended, unless you have repeatedly violated our Terms, or we have legal or regulatory reasons preventing us from notifying you. If you or Artelio terminate your account, you may lose any information associated with your account, including Your Content.
3. We May Discontinue the Services Artelio reserves the right to change, suspend, or discontinue any of the Services for you, any, or all users, at any time, for any reason. We will not be liable to you for the effect that any changes to the Services may have on you, including your income or your ability to generate revenue through the Services.

3.3 Fees:

1. You are responsible for paying all fees that you owe to Artelio. More on our fees for our services.

4. Warranties and Limitation of Liability:

You understand that Artelio does not manufacture, store, or inspect any of the items sold through our Services. We provide the venue; the items in our marketplaces are produced, listed, and sold directly by independent sellers, so Artelio cannot and does not make any warranties about their quality, safety, authenticity, or their legality. Any legal claim related to an item you purchase must be brought directly against the seller of the item. You release Artelio from any claims related to items sold through our Services, including for defective items, misrepresentations by sellers, or items that caused physical injury (like product liability claims).

5. Return / Exchange of an order

Vendors undertakes to comply with our return policy.

6. Orders cancelation

Buyers can request a cancellation from sellers through the site following these rules:

1. Custom-made products: within 24 hours or before order status change to Accepted, whichever comes First.
2. Personalization: before order status change to Accepted
3. Ready to ship products: before order status change to shipping.
